Chisel Yourself (OPC) Private Limited is a registered corporate entity based in Chennai, India, providing specialized creative and visual communication design services to international and domestic clients. Our services include, but are not limited to:

• Brand identity, visual positioning, and guidelines.

• Corporate presentation, pitch deck, and investor deck design.

• Business communications, corporate profiles, brochures, and annual reports.

• Marketing collateral, sales enablement assets, and digital advertising assets.

• Packaging, print design, and social media creative assets.

Individual projects, scopes of work, fees, timelines, and specific deliverables will be defined in a separate proposal, quotation, Statement of Work (SOW), or Purchase Order (PO) executed between the parties.

You may use this website strictly for lawful commercial and information-seeking purposes. You agree not to:

• Copy, reproduce, modify, distribute, or create derivative works from website content without prior written authorization.

• Attempt to gain unauthorized access to our infrastructure, servers, or client portals.

• Introduce viruses, malware, trojans, or destructive code to our systems.

• Use our site or brand assets in a manner that damages our reputation or intellectual property.

We reserve the right to restrict or terminate website access in cases of suspected violation.

All design services are executed against an agreed SOW or proposal detailing:

• Specific deliverables and final file export formats.

• Design concepts provided and designated revision rounds.

• Delivery schedules, milestone timelines, and fee structures.

• Client-supplied inputs and licensing specifications.

Any client request falling outside the defined SOW will be evaluated as a scope change and subject to additional fees and adjusted timelines.

Proposals and fee quotations remain valid for the period specified within the quote. Work will officially commence only upon receipt of written approval, a signed SOW/PO, and the required advance milestone payment.

To maintain project schedules, the client is responsible for providing timely and accurate content, copy, brand assets, logos, and high-resolution imagery.

The client warrants that all materials provided to Chisel Yourself do not infringe upon any third-party patent, trademark, copyright, trade secret, or privacy right. Delays in receiving client inputs or approvals will automatically extend project delivery timelines.

Revisions: Included revision rounds are specified in the applicable SOW. Requests outside this scope or post-approval pivot directions will be billed at our standard hourly or project rates.

Final Sign-off: The client holds full responsibility for inspecting, proofreading, and approving final deliverables prior to production, printing, or public dissemination.

Invoicing: Invoices are issued in the currency specified in the SOW (e.g., USD, EUR, GBP, INR) and are due as per agreed milestone dates.

Banking & Transfer Fees: For international clients, all wire transfer fees, intermediary banking fees, credit card processing fees, and foreign exchange conversion costs must be borne by the client to ensure the full invoice amount is received.

Taxes: All fees are exclusive of applicable statutory taxes, Indian GST, or local taxes. Where international withholding taxes (TDS) apply under bilateral Double Tax Avoidance Agreements (DTAA), the client must provide official tax withholding certificates.

Late Payment: Unpaid balances beyond the due date may result in immediate suspension of active services, delivery adjustments, and withholding of final file release.

Final Deliverables: Upon receipt of full and final payment, ownership and operational copyright of the final approved custom design deliverables transfer to the client, subject to third-party asset licenses.

Agency Retained IP: Chisel Yourself retains full ownership of preliminary drafts, rejected visual concepts, working files, internal methodologies, original software scripts, vector components, and custom templates created during development.

Moral Rights: To the maximum extent permitted under applicable law, moral rights are waived solely in favor of enabling client commercial utilization of approved deliverables.

Third-Party Materials: Stock images, specialized fonts, vectors, plugins, or software licensed on behalf of the project remain subject to their respective end-user license agreements (EULAs). The client may be required to purchase independent licenses for extended commercial use.

Artificial Intelligence (AI): Where AI technologies are utilized for workflow optimization, ideation, or research, human designers manage creative execution. We guarantee that confidential client information will not be uploaded into public or unvetted AI training models without explicit client agreement.

Both parties agree to protect proprietary and confidential client data, including pitch deck narrative, financial figures, investor materials, and strategic plans, with strict professional care.

Confidential information will only be shared with personnel or vetted sub-contractors on a need-to-know basis under strict non-disclosure obligations.

We routinely execute standalone bilateral Non-Disclosure Agreements (NDAs) prior to receiving confidential project briefs.

Unless subject to an active signed NDA or express written restriction provided by the client prior to project commencement, Chisel Yourself reserves the right to display non-confidential, publicly released deliverables in its professional portfolio, case studies, website, and industry award submissions.

Service Quality: We deliver creative services in a professional manner aligned with recognized industry standards.

Commercial Outcomes: Design solutions do not guarantee specific business metrics, investment capital raised, sales conversions, or financial targets.

Cap on Liability: To the maximum extent permitted by governing law, Chisel Yourself's aggregate liability for any claim arising from or related to our services or website shall strictly not exceed the total fees paid by the client for the specific service giving rise to the claim. Consequential, indirect, punitive, or special damages are expressly excluded.

Either party may terminate an engagement by providing written notice as stipulated in the SOW. Upon termination, the client shall pay for all completed work, work-in-progress on a pro-rata basis, non-cancelable third-party commitments, and authorized expenses incurred up to the termination date. Advance payments for work commenced are non-refundable.

Neither party shall be held liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, acts of government, internet backbone failures, cyber-attacks, or civil unrest.

Governing Law: These Terms and any project engagements are governed by and construed in accordance with the laws of India.

Jurisdiction: Subject to arbitration options specified in client-specific contracts, courts located in Chennai, Tamil Nadu, India shall hold exclusive jurisdiction over disputes.

International Contracting: For cross-border engagements, specific SOWs may incorporate mutually agreed international arbitration rules (e.g., SIAC or UNCITRAL) or alternative governing law jurisdictions where formally negotiated.
